Commercial EULA & Terms of Sale

1. Scope & Dual-Licensing Framework

These Commercial Terms govern the commercial deployment of the Aureal Watermark engine, CLI tools, and libraries. Non-commercial, personal, academic, and evaluation use is licensed freely under the PolyForm Noncommercial License 1.0.0. Any commercial music release, record label promo pool, audio streaming service, audio SaaS pipeline, or commercial AI model integration requires a paid commercial license granted hereunder.

2. License Grants by Tier

• Solo Creator License ($249 perpetual): Grants one named individual or sole-proprietor studio non-exclusive rights to watermark and commercially distribute an unlimited number of personal audio releases and client master files.
• Label & A&R Desk License ($499 perpetual / seat): Grants one organizational seat the right to generate uniquely tagged promo copies, maintain recipient manifests, and execute forensic leak audits across commercial artist rosters.
• B2B Audio Marketplace / SaaS ($2,900+ / yr): Grants headless backend integration rights to run Aureal Watermark within server export pipelines, user-generated content (UGC) ingestion, and digital distribution networks.
• Voice AI & Speech Platform ($12,500 / yr or usage-based): Grants enterprise integration rights for synthetic voice generation, EU AI Act Article 50 compliance, and C2PA persistence bridges.

3. Air-Gapped & Zero-DRM Guarantee

Aureal Watermark licenses do not require license servers, dongles, or internet connectivity. You are permitted to run the software in air-gapped mastering environments and private cloud clusters without outbound verification calls.

4. Restrictions & Protection of Intellectual Property

Licensee shall not:

• Decompile, reverse-engineer, or adapt the DSP algorithms for the purpose of creating a directly competing commercial audio watermarking library.
• Sub-license, resell, or distribute the core watermarking source code or binaries to third parties outside the licensed organization.

5. Disclaimer of Warranties & Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While Aureal Watermark is rigorously tested across MP3, AAC, and lossy transcoding matrices, LICENSOR DOES NOT GUARANTEE THAT WATERMARKS WILL BE 100% RECOVERABLE AGAINST ADVERSARIAL ATTACKS, TIME-SCALE MODIFICATION (TIME-STRETCHING / PITCH-SHIFTING), OR INTENTIONAL SIGNAL CORRUPTION. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, LOSS OF PROFITS, OR REPUTATIONAL HARM ARISING FROM LEAKS, FAILURE TO PROVE OWNERSHIP IN LITIGATION, OR AUDIO CORRUPTION.

6. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany.
